This Gift Card Agreement (“Agreement”) sets forth the terms and conditions under which a Pep Boys® Gift Card (“Gift Card”) or Pep Boys eGift Card (“eGift Card”) is issued to you on behalf of The Pep Boys – Manny, Moe & Jack LLC (“Pep Boys”). By accepting and using your Gift Card or eGift Card, or authorizing any person to use the Gift Card or eGift Card, you agree to be bound by the terms and conditions contained in this Agreement.  In this Agreement “You” and “your” mean the person or persons who have received the Gift Card or eGift Card and are authorized to use the Gift Card or eGift Card. “We”, “us”, and “our” mean collectively, Pep Boys.  This Agreement applies to both the purchaser and any other user of the Gift Card or eGift Card. 

 

IMPORTANT: 

(1) PLEASE READ CAREFULLY. THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION THAT, AS FURTHER SET FORTH BELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES. THIS MEANS THAT YOU AND PEP BOYS ARE EACH GIVING UP THE RIGHT TO SUE EACH OTHER IN COURT OR IN CLASS ACTIONS OF ANY KIND. IN ARBITRATION, THERE IS NO JUDGE OR JURY AND THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT 
(2) IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE GIFT CARD AND/OR eGiIFT CARD. 

 

The Pep Boys Gift Card is a store gift card issued for personal, family, or household purposes to you in a specified amount (in available increments and within certain limits) in exchange for payment for goods or services, redeemable upon presentation at Pep Boys locations in the U.S. and Puerto Rico (See Section 5 for additional information).  The Pep Boys Gift Card is a store gift card and can only be purchased in-store, purchased in bulk as part of a corporate gift card fulfillment, or issued by Pep Boys for customer services purposes. The Pep Boys Gift Card may only be used in-store. 

 

The Pep Boys eGift Card allows you to purchase and send a virtual eGift Card via e-mail. You may choose a dollar amount for your eGift Card (in available increments and within certain limits) and complete your purchase using a credit card or debit card. Your eGift will be delivered to the email provided during checkout, provided that your form of payment is approved.  You authorize us to charge your credit card, debit card or other chosen electronic payment method at the time you purchase your eGift Card regardless of the date you choose for delivery.  On the requested delivery date, we will send the recipient of your eGift an email notifying them that they have received an eGift from you.   We will also send you an email confirming receipt of your eGift Card when the recipient opens the eGift Card email.  Each eGift Card has a unique Pep Boys barcode number associated with it no matter how many times the email is printed out. Refunds are not available for purchases of eGift Cards.

 

Pep Boys private label cards, such as the Synchrony™ Car Care Credit Card, are not accepted by Pep Boys for purchases of Gift Cards and eGift Cards.

 

Gift Cards and eGift Cards are NOT credit cards. The value on your Pep Boys Gift Card is not insured by the Federal Deposit Insurance Corporation (FDIC), nor does it earn interest. 

 

 

a. Your Pep Boys Gift Card and eGift Card Limitations.

• You may use your Pep Boys Gift Card or eGift Card to make in-person purchases for goods or services only at participating Pep Boys locations in the U.S. and Puerto Rico (See Section 5 for additional information).  Each time you use your Pep Boys Gift Card or eGift Card, you authorize us to reduce the value available on your Gift Card or eGift Card by the amount of the transaction until it reaches $0, subject to the limitations for security reasons as explained below (e.g., amount or number of transactions).  Your Pep Boys Gift Card or eGift Card cannot be: (i) returned or redeemed for cash or credit, except where required by law; (ii) used to obtain cash in any transaction at Pep Boys stores in the U.S. and Puerto Rico; (iii) used for illegal transactions, including but not limited to fraudulent transactions, or when the Gift Card has been altered or defaced; (iv) used for internet transactions; (v) used for transactions other than for the payment or purchase of goods and services offered at participating Pep Boys locations; (vi) used for payment of account balances such as commercial, fleet, or credit card accounts; or (vii) used for purchases where recurring payments may occur, such as subscriptions, memberships, rentals, etc., if applicable. 
• For security reasons, we may limit the amount or number of transactions involving your Pep Boys Gift Card or eGift Card. Currently, the total value of Gift Cards or eGift Cards purchased in a single transaction may not exceed $10,000 regardless of the number of Gift Cards or eGift Cards purchased in the transaction. We may refuse to process any transaction that we believe may violate the terms of this Agreement.  YOU ARE NOT ALLOWED TO EXCEED THE BALANCE OF FUNDS AVAILABLE ON YOUR PEP BOYS GIFT CARD OR eGIFT CARD.  If you attempt to use the Gift Card or eGift Card when there are insufficient funds associated with it, the transaction will generally be declined. Nevertheless, if a transaction that exceeds the balance of the funds available on your Gift Card occurs due to a systems malfunction or otherwise, you will remain fully liable to us for the amount of the transaction.  If you do not have enough funds available on your Gift Card, you may be able to perform a ‘split transaction' to charge part of the purchase to the Gift Card and pay the remaining amount with another form of payment, subject to applicable Pep Boys in-store purchases policies and restrictions. 
• You may NOT use your Pep Boys Gift Card without physically presenting your Gift Card at check-out (such as by presenting a photograph of a Gift Card or by providing a Gift Card number from memory).   Recipients of eGift Cards will have the option to print the email containing their eGift Card or have the barcode scanned at Pep Boys participating locations to make a purchase, such as by presenting the barcode on a mobile device.
• You may use your Pep Boys Gift Card or eGift Card only to make in-person purchases only for goods or services at Pep Boys locations in the U.S. and Puerto Rico. 
• Your Pep Boys Gift Card or eGift Card is valid only in the U.S. and Puerto Rico at participating Pep Boys locations (See Section 5 for additional information). It cannot be used for internet and/or mail/telephone order.  

 

For security reasons, a personal identification number (“PIN”) may be provided with each Pep Boys Gift Card. If a PIN is provided via email for each Pep Boys eGift Card.  You should not write or keep your PIN with your Gift Card.  Do not share your PIN with anyone.

 

You may obtain information about the amount of money you have remaining in your Pep Boys Gift Card or eGift Card by contacting Pep Boys Customer Service 1-800-PEP-BOYS (737-2697) or visiting the Pep Boys Website (option available for gift cards with PINs only). The balance you see when viewing your Pep Boys Gift Card or eGift Card online or by calling customer service is an estimate only. In most cases, the balance is adjusted immediately when you make an in-store purchase, but there may be occasions when the updated balance is delayed for a period of time. 

 

If you are entitled to a refund for any reason for goods or services obtained with your Gift Card or eGift Card, the return and refund will be handled by a Pep Boys associate at your local store. Generally, cash or merchandise return cards are tender options available for returns. In Pep Boys’ discretion and under certain circumstances, a refund to a debit or credit card used to complete the original purchase may be available.

You may wish to retain receipts as a record of transactions.  Receipts will be required if you need to verify a transaction. 

 

Pep Boys Gift Cards and eGift Cards never expire. 

 

We do not charge you any activation, service, dormancy, or inactivity fees in connection with your Pep Boys Gift Card or eGift Card. 

 

By purchasing a Pep Boys Gift Card or eGift Card, you are certifying and representing to Pep Boys that the activities in connection with which the Pep Boys Gift Card or eGift Card will be used will comply with this Agreement and all applicable laws, rules and regulations, and that the Pep Boys Gift Card or eGift Card will not be used in any manner that is misleading, deceptive, unfair or otherwise harmful to consumers or Pep Boys.  In addition, you agree to defend and indemnify The Pep Boys – Manny, Moe & Jack LLC and its subsidiaries and affiliates from and against any claims, expenses or liabilities made against or incurred by any of them in connection with your use of the Pep Boys Gift Card or eGift Card or violation of any of these terms and conditions. 

 

Your Pep Boys Gift Cards and eGift Card are not replaceable, except under the applicable circumstances of Section 4. 

 

You should treat your Pep Boys Gift Card or eGift Card like cash and not disclose your Pep Boys Gift Card or eGift Card information to anyone.  Make sure to keep your Gift Card or eGift Card 19-digit number confidential.  If your Pep Boys Gift Card, eGift Card, or related information is lost or stolen, anyone who obtains possession of either may use your Gift Card or eGift Card.  You are responsible for all transactions on your Pep Boys Gift Card or eGift Card, including unauthorized transactions.

 

If you believe your Gift Card has been lost or stolen or an unauthorized transaction has been made using the information from your Gift Card or eGift Card without your permission, contact Pep Boys Customer Service IMMEDIATELY.  We will ask for your Gift Card or eGift Card number and other identifying details.  We cannot assist you if you do not have your Gift Card or eGift Card 19-digit number.  We reserve the right to investigate any claim you may make with respect to a lost or stolen Gift Card or unauthorized Gift Card or eGift Card transaction, and you agree to cooperate with such investigation.  We may not be able to assist you if you do not contact us within 60  days of the unauthorized transaction, or if you have not activated your Gift Card or eGift Card upon purchase (See Section 2(b) for more details). 

 

You are responsible for all unauthorized transactions unless: (i) your Gift Card or eGift Card has been activated, (ii) you notify us promptly upon becoming aware of the loss or theft by providing the necessary and required information, and (iii) you exercise reasonable care in safeguarding your Gift Card or eGift Card information from loss, theft, or unauthorized use.  Under these circumstances, Pep Boys may replace your Gift Card or eGift Card by issuing you a new Gift Card or eGift Card with the remaining balance on it at the time you contact us. 

 

Your Pep Boys Gift Card or eGift Card is only valid for in-store purchases of goods or services at Pep Boys locations in the U.S. and Puerto Rico, or for online orders for in-store pick-up when purchase payment is made in person and in-store. Some participating stores may accept Gift Cards or eGift Cards as a payment method for purchases of goods and services but may not necessarily offer Gift Cards for purchase. Translations of this Agreement that may have been made available to you are for your convenience only and may not accurately reflect the original English meaning.  The meanings of terms, conditions, and representations herein are subject to definitions and interpretations in the English language. 

 

You may not assign or transfer your Gift Card, eGift Card, or your obligations under this Agreement.  We may, however, transfer or assign our rights under this Agreement, including any balances in your Gift Card or eGift Card. 

 

These Pep Boys Gift Card Terms and Conditions were last updated on the date set forth above.  You will be notified of any change to this Agreement in the manner required by applicable law prior to the effective date of the change.  However, if the change is made for security purposes, we can implement such change without prior notice.  We do not waive our rights by delaying or failing to exercise them at any time. If any provision of this Agreement is determined to be invalid or unenforceable under any rule, law, or regulation of any governmental agency, local, state, or federal, the validity or enforceability of any other provision of this Agreement shall not be affected. 

 

TO THE FULL EXTENT PERMISSIBLE BY LAW, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO GIFT CARDS, eGIFT CARDS, OR YOUR BALANCE, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.  TO THE FULL EXTENT PERMISSIBLE BY LAW, IN THE EVENT A GIFT CARD IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, WILL BE THE REPLACEMENT OF THAT GIFT CARD OR eGIFT CARD.

 

PLEASE READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.  This arbitration provision provides that you and Pep Boys waive any rights to file a lawsuit in court or participate in a class action for matters within its terms. 

 

ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS OR ANY ASPECT OF THE RELATIONSHIP BETWEEN YOU AND PEP BOYS (INCLUDING ANY PRODUCTS OR SERVICES OFFERED OR SOLD BY PEP BOYS), WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, MISREPRESENTATION, OR ANY OTHER LEGAL THEORY, WILL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION BEFORE A NEUTRAL, SINGLE ARBITRATOR INSTEAD OF IN A COURT BY A JUDGE OR JURY, AND YOU AGREE THAT PEP BOYS AND YOU ARE EACH WAIVING THE RIGHT TO SUE IN COURT AND TO HAVE A TRIAL BY A JURY. DISPUTE SHALL BE INTERPRETED AS BROADLY AS PERMITTED UNDER THE LAW AND SHALL COVER ANY CLAIMS THAT AROSE BEFORE THESE OR ANY PRIOR TERMS AND CONDITIONS. YOU AGREE THAT ANY ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS; AS SET FORTH BELOW, CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED AND YOU AGREE TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION.

 

• All Arbitrations will be held under the auspices of either the American Arbitration Association ('AAA') or Judicial Arbitration and Mediation Services/ Endispute ('JAMS'), at the option of the party making a Demand for Arbitration.
• All Arbitrations will be conducted before a single arbitrator and in accordance with the then-current commercial arbitration rules and procedures of AAA or JAMS, as applicable, except to the extent any such rules and/or procedures conflict with any express term herein, in which case such express terms will control.
• Insofar as allowed by the rules of AAA or JAMS, the party demanding arbitration can elect to participate in person, via telephone or other electronic means or by written submissions.
• Any filing fee or administrative fee required by AAA or JAMS shall be paid by the party making a Demand for Arbitration to the extent such fee does not exceed the amount of the initial filing fee to commence an action in a Court that otherwise would have jurisdiction. For all non-frivolous complaints, Pep Boys will pay (1) the amount of such fee in excess of that amount, (2) any administrative fees required by AAA or JAMS, and (3) the fees of the Arbitrator for his or her services.
• Each party will pay his or her own attorney's fees and except as specifically provided herein, his or her own costs and fees incurred in connection with the Arbitration.
• Except as set forth in this section above, all costs and fees associated with the arbitration shall be determined by the rules or procedures of AAA or JAMS, unless limited by applicable law, and if not addressed by such rules or procedures, will be borne equally by each party.
• The Arbitrator will have the authority to entertain a motion to dismiss and/or a motion for summary judgment filed by any party and shall apply the standards governing such motions under the Federal Rules of Civil Procedure.
• The same statute of limitations which would have applied if the dispute or disagreement was sought to be adjudicated in an administrative or judicial forum will apply, so that any Arbitration Claim must be filed on or before the expiration of the statute of limitations period applicable to that Claim, subject to any applicable tolling of the limitations period. The date of filing is the date on which written notice by the party seeking arbitration stating that party's intention to arbitrate ('Demand for Arbitration') is received by AAA or JAMS.
• Any Demand for Arbitration filed with AAA or JAMS must be served on the party against whom the Arbitration Claim is made, within ten (10) days of filing with AAA or JAMS, with service to Pep Boys directed to the Company's General Counsel, One Presidential Blvd., Suite 400,  Bala Cynwyd, PA 19004 
• All service hereunder must be made by United States certified or registered mail, return receipt requested.
• Any party may bring an action in any court of competent jurisdiction to compel Arbitration. If provided for by the laws of such jurisdiction, either party may bring an action in any court of competent jurisdiction to enforce or vacate an Arbitration Award in accordance with such laws.
• Arbitration Claims arbitrated hereunder are subject to the same limitations regarding damages and ability to obtain other relief, and affirmative rights to damages and other relief, as would have applied if the Claim was made, and proceeded, in a judicial forum.

THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR LITIGATED ON A CLASS ACTION, JOINT, OR CONSOLIDATED BASIS OR ON BASES INVOLVING CLAIMS BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC (SUCH AS A PRIVATE ATTORNEY GENERAL), OTHER PEP BOYS CUSTOMERS, OR OTHER PERSONS. THE ARBITRATOR MAY AWARD RELIEF ONLY ON FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT INDIVIDUAL PARTY’S CLAIM. THE ARBITRATOR MAY NOT AWARD RELIEF FOR OR AGAINST ANYONE WHO IS NOT A PARTY. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. THIS WAIVER OF CLASS ACTIONS AND COLLECTIVE RELIEF PARAGRAPH IS AN ESSENTIAL PART OF THIS ARBITRATION PROVISION AND CANNOT BE SEVERED FROM IT. THE REMAINING PORTIONS OF THIS ARBITRATION PROVISION ARE NOT ESSENTIAL PARTS OF THIS ARBITRATION PROVISIONA AND CAN BE SEVERED FROM IT BY A COURT OF COMPETENT JURISDICTION. NOTWITHSTANDING THE FOREGOING, IF A COURT DETERMINES THAT PUBLIC INJUNCTIVE RELIEF MAY NOT BE WAIVED AND ALL APPEALS FROM THAT DECISION HAVE BEEN EXHAUSTED, THEN THE PARTIES AGREE THAT THIS ARBITRATION PROVISION SHALL SURVIVE AND ANY CLAIM FOR PUBLIC INJUNCTIVE RELIEF SHALL BE STAYED PENDING ARBITRATION OF THE REMAINING CLAIMS. 

 

This arbitration provision shall survive any termination of these Terms and Conditions.  Any amendments to this arbitration provision shall not affect any pending asserted claim or arbitration proceeding. 

 

The law applicable to the interpretation and construction of these Terms and Conditions in any arbitration shall be the Federal Arbitration Act, applicable federal laws, and the laws of the State of Delaware without regard to principles of conflicts of laws. If any dispute is found not to be arbitrable, then ordinary choice of law rules will apply in any court proceeding in which the matter is adjudicated. Venue for any action brought pursuant to this Agreement will be in the Commonwealth of Pennsylvania.
