OFFICIAL RULES

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Timing: The Pep Boys Scoring Drive Sweepstakes (the "Sweepstakes") begins on September 3, 2022 at 12:00:01 A.M. Eastern Time ("ET") and ends at 11:59:59 P.M. ET November 30, 2022 (the “Promotion Period”). The Promotion Period shall consist of thirteen (13) entry periods (each, an “Entry Period” and collectively, the “Entry Periods”) wherein one (1) Second Prize, one (1) Third Prize and one (1) Fourth Prize will be awarded in a random drawing from among all eligible entries receive as of the end of the corresponding Entry Period. Non-winning Entry Period entries WILL roll over to subsequent Entry Period drawings, if any. Each Entry Period begins each Saturday of the Promotion Period and ends the following Friday at 11:59:59 P.M. ET (except for the final Entry Period which will end at the end at the conclusion of the Promotion Period). Additionally, at the conclusion of the Promotion Period, one (1) Grand Prize winner will be randomly selected from among all eligible entries received throughout the Promotion Period. Sponsor’s computer will be the official timekeeping device for this Sweepstakes.

2. Eligibility: Open to legal residents of the United States or the District of Columbia, excluding Alaska, Hawaii, New York, Puerto Rico, and U.S. Territories and Possessions, who have reached the age of majority in the jurisdiction where they reside at time of entry. Void in Alaska, Hawaii, New York, Puerto Rico, U.S. Territories and Possessions and where prohibited by law. Employees (including immediate family members [spouse, parents, siblings and children] and those living in the same household of each such employee) of The Pep Boys–Manny, Moe & Jack LLC, (“Sponsor”), Marketing Visions, Inc. (“Administrator”), their parents, affiliates and subsidiaries, participating advertising and promotion agencies, and prize suppliers are not eligible. Subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor’s and Administrator's decisions, which are final and binding in all matters related to this Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. How To Enter: There are two (2) ways to enter this Sweepstakes:

Entry Method 1: During the Promotion Period, look for special Pep Boys events (“Events”) in the parking lots of participating college football stadiums or at other Events. On Sweepstakes promotional materials at these Events, find a Sweepstakes Quick Response (“QR”) code and scan the QR code with your web-enabled mobile device (“Smartphone”) to be directed to a special offer from Pep Boys. After either accepting or declining the special offer, you will be directed to the Sweepstakes entry form. Follow the instructions to complete and submit the online entry form and you will receive one (1) entry into the Sweepstakes.

Entry Method 2: During the Promotion Period, access the Internet from a computer or smartphone, go to pepboys.com/scoringdrive to access the Sweepstakes entry form. Follow the on-screen instructions and complete the entry form in its entirety, then click on the “Submit” button to receive one (1) entry into the Sweepstakes. Links and/or the URL to the Sweepstakes entry form may also be provided on pepboys.com in the form of a clickable Pep Boys Scoring Drive Sweepstakes icon, as well as in Pep Boys emails, social media posts, and printed marketing materials.

Standard data charges may apply to Smartphone entry, check your service plan for details. At the time of registration, entrants, at their option and discretion, may elect to “opt-out” to not receive future marketing and promotional communications from Sponsor. Choosing to “opt-out” or “opt-in” will not affect entrants’ chances of winning.

Regardless of method of entry, you may enter a maximum of one (1) time. Any attempt by any entrant to obtain more than one (1) Sweepstakes entry by using multiple/different email addresses, identities, registrations, Smartphones, logins or any other methods will void that participant's Sweepstakes entries and that participant may be disqualified. Multiple entrants are not permitted to share the same email address. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the registrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder. Normal Internet access and usage charges imposed by your Internet service provider will apply.

4. Random Drawings: At the conclusion of each Entry Period, one (1) potential second, third, and fourth place prize winner will be selected from among all eligible entries received as of the conclusion of the corresponding Entry Period. On or about December 5, 2022, one (1) potential Grand Prize winner will be selected from among all eligible entries received throughout the Promotion Period. The Drawings will be conducted under the direction of Administrator, whose decisions are final in all matters relating to the Sweepstakes. The potential prize winners will be notified by email and/or phone within three (3) days after the drawing is held. The odds of winning a prize depend on the total number of eligible entries received as of the end of the corresponding Entry Period or Promotion Period, as applicable.

Potential Entry Period prize winners may be required to, and the potential Grand Prize winner must, properly complete, sign (and, in the case of the Grand Prize winner, have notarized) and return to Administrator, within five (5) business days of the date notice is sent, an affidavit of eligibility and liability release and (where imposing such condition is legal) a publicity release, as well as a W-9 IRS tax form (collectively, the “Prize Claim Documents”) in order to have the opportunity to receive a prize. If a potential prize winner cannot be contacted or fails to sign and return the Prize Claim Documents within the required time period, then such potential prize winner may be disqualified and/or otherwise forfeit his or her opportunity to receive a prize. In the event that a potential prize winner is disqualified for any reason, there will be three (3) alternate drawings following the procedure stated above, after which the prize in question will remain unawarded. Prize will be awarded to the person whose name is on the entry.

5. Prizes: There are forty (40) prizes available to be won in this Sweepstakes consisting of one (1) Grand Prize, thirteen (13) Second Prizes, thirteen (13) Third Prizes, and thirteen (13) Fourth Prizes.

5a. Grand Prize: One (1) Grand Prize is available consisting of a premium ticket package to the Final Game of the Season at SoFi Stadium currently scheduled to take place in Inglewood, CA on January 9, 2023. Prize includes, for winner and one (1) travel companion, roundtrip coach-class air transportation from a major airport near winners’ residence (as determined at the sole discretion of Sponsor) to Los Angeles, CA, 100-level club seats between 35-yard lines at the Final Game of the Season at SoFi Stadium, Playoff Premium pregame hospitality party inside SoFi Stadium, in-game club access with premium food and beverage for purchase, exclusive weekend event with live music/all-inclusive food and beverage and college football legends, premium hotel accommodations (three nights & double occupancy), hotel hospitality lounge access throughout the weekend, concierge service, and $14,000 to cover all additional expenses. Approximate retail value (“ARV”): $51,000.

Winner and travel companion are solely responsible for any and all costs, other than those specifically stated in these Official Rules, that may be incurred or arise as a result of being awarded the prize. Such costs may include, but are not limited to, all federal, state, local, or other government taxes and fees, travel to and from airports, travel insurance, and items of a personal nature (e.g., excursions, gratuities, alcoholic beverages, photographs, souvenirs, some entertainment, service fees, medical services, etc.). Unused components of the prize have no redeemable cash value and no compensation or substitution will be made.

In the event prize winner and/or his or her guest engage(s) in behavior that (as determined by Sponsor or its designee in their sole and absolute discretion) is obnoxious or threatening, illegal, or that is intended to annoy, abuse, intimidate, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other applicable experience early, in whole or in part, and send winner and/or his or her guest home with no further compensation and any element of the prize, if any, still remaining will be immediately forfeited. Winner and guest are responsible for all travel documents (such as a valid photo ID) required for travel. Sponsor is not responsible for the cancellation or delay of the Final Game of the Season at SoFi Stadium for any reason. If guest is under twenty-one (21) years of age, winner must be travel companion's parent/legal guardian. Except where prohibited by applicable law, winner and travel companion must provide proof of eligibility and will be required to sign a liability and publicity release prior to traveling. If a prize winner makes any false statements in any document referenced herein, such winner will be required to promptly return to Sponsor upon demand the prize or cash equivalent of the prize won. No assignment, transfer, refund or substitution of prize, in whole or in part, is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value at its sole discretion if the prize offered becomes unavailable for any reason. Winner will be issued a 1099 tax form for the actual retail value of the prize following the date prize is awarded.

Prize winner and their travel companion irrevocably waive all claims against the “Released Parties” (as defined below) and agree that the Released Parties will have no liability or responsibility for any claim arising in connection with participation in this Sweepstakes, the prize elements awarded, personal injury, or wrongful death, a potentially heightened risk of exposure to communicable diseases, viruses, bacteria or illnesses (including, without limitation, COVID-19) and the causes thereof, and sickness arising as a result of a winner participating in the Sweepstakes and related activities, wherever, whenever or however the same may occur. Grand Prize winner and their travel companion fully understand that (a) the novel coronavirus SARS-CoV-2 and any resulting disease (together with any mutation, adaptation or variation thereof, “COVID-19”) is extremely contagious and there is an inherent risk of exposure to COVID-19 in any place where people are or have been present; (b) no precautions, including the protocols that will be implemented from time to time by any/all travel providers or those providing accommodations (collectively, the “Protocols”), can eliminate the risk of exposure to COVID-19; (c) while people of all ages and health conditions have been adversely affected by COVID-19, certain people have been identified by public health authorities as having greater risk based on age and/or underlying medical conditions; and (d) exposure to COVID-19 can result in being subject to quarantine requirements, illness, disability, other short-term and long-term health effects, and/or death, regardless of age or health condition.

5b. Second Prizes: Thirteen (13) second prizes are available, each consisting of a $500 Pep Boys Gift Card. ARV $500 per prize. Gift card subject to separate terms and conditions imposed by issuer.

5c. Third Prizes: Thirteen (13) third prizes are available, each consisting of a Pep Boys branded Cornhole Game. Each game consists of Two Boards made using a premium 2x4 frame and 1/2" sanded plywood playing surface. Each wooden cornhole set has folding 2x4 legs secured with galvanized bolts. Includes are 4 white bags and 4 red bags. Size: 50x25x10. ARV $335 per prize.

5d. Fourth Prizes: Thirteen (13) fourth prizes are available, each consisting of a $250 Shell Gas Card. ARV $250 per prize. Gift card subject to separate terms and conditions imposed by issuer.

6. TOTAL MAXIMUM VALUE OF ALL PRIZES AVAILABLE TO BE WON: $65,105.

7. Release: By participating in the Sweepstakes and/or receiving a prize, entrants agree to release and hold harmless Sponsor, Administrator, and each of their respective subsidiaries, affiliates, suppliers, distributors, licensors, advertising and promotion agencies, and prize suppliers, and each of their respective parent companies and each such company's officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of the prize.

8. Publicity: Except where such condition is legally prohibited, by participating in the Sweepstakes and accepting the Prize, a verified winner hereby agrees and grants the Sponsor and its designees the right, but not the obligation, to the use of winner's name, voice, likeness, photograph, and opinions along with his or her address (city and state) and any statements made by or attributed to such winner in any and all media, now known or hereafter devised, without notice, review or approval, in perpetuity and throughout the universe for advertising and promotional purposes in connection with the Sweepstakes and other promotions without further compensation, and releases the Sponsor and its designees from any liability with respect thereto.

9. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process of the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Sweepstakes, provided that if it is not possible to award another entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein.

10. General Conditions: Sponsor is not responsible for entries that are not received for any reason, including any computer, online, postal mail, telephone, human error, technical malfunctions, lost, late, incomplete, invalid, unintelligible or misdirected entries. Use of any automated system to participate is prohibited and will result in disqualification. Sponsor reserves the right to cancel, suspend and/or modify this Sweepstakes, or any part of it, if any fraud, technical failures (whether due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud), or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes. Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. If Sponsor terminates this sweepstakes, Sponsor reserves the right to conduct a random drawing to award the prize from among all eligible entries received as of the termination date. Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer on‑line systems, servers, or providers, computer equipment, software, failure of any entry to be received by Sponsor on account of technical problems, human error, or any combination thereof.

11. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Commonwealth of Pennsylvania; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania, U.S.A. without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Pennsylvania or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Pennsylvania. . Entrants expressly agree that any legal proceedings arising out of or relating in any way to this Sweepstakes or these Official Rules shall be brought only in the federal or state courts located in Philadelphia County, Pennsylvania, and consent to the mandatory and exclusive jurisdiction in such courts with respect to any such legal proceedings. In the event of any discrepancy or inconsistency between any terms or conditions of these Official Rules and any disclosures or other statements contained in any other Sweepstakes-related materials, including but not limited to the Sweepstakes entry forms, or point of sale, television, print, mobile or online advertising, the terms and conditions of these Official Rules shall prevail, govern and control. If any provision of these Official Rules is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

12. Entrant's Personal Information: Information collected from entrants is subject to Sponsor's Privacy Policy, which is found at https://www.pepboys.com/customer_care/policies/privacy and which may be updated from time to time.

13. Winners List: For Sweepstakes results (available after December 31, 2022) and/or a copy of these Official Rules, send a hand-printed, self-addressed, stamped envelope to: Pep Boys Scoring Drive Sweepstakes, P.O.
