The gasket is made of a combination cork and rubber compound. It's folded up in the box, so you just unfold it and lay it on the pan. The holes in the gasket are just the right size for the bolts, so when you put the bolts through the pan and through the gasket, they stay in place. That makes it so much easier to get the pan in place and aligned with the transmission. No screws fall out.
I put a little loctite blue on the bolt threads after putting them through the gasket as described above. I read stories about people overtightening the bolts until the gasket was deformed, so I didn't overdo it. These aren't rubber gaskets and don't need to be tightened as much. Instead of using a torque wrench, I tightened them by hand, working in a crisscross pattern so they were tightened more evenly. I snugged each one up, then went back and did each one a little more until the gasket started to compress. Then I went over them a third time to ensure I got them all (there were 14 bolts, and given the pattern I was tightening them in, I had to be careful that each one was tightened properly). No leaks.
The filter is not too difficult to replace. The old one pops off and the new one just gets pushed into place. Not much more to say about that. Overall this was a lot less messy than I thought it would be, as the transmission fluid was easily drained into a large pan. I think about 5 or 6 quarts came out.
The worst part was breaking the pan off of the tranny. The RTV used at the factory holds extremely well. I slipped a single edge razor in the area where it was leaking (yes, I did this because I had a trans. fluid leak), to open the area as much as possible, then slipped a flat putty knife in the gap. I used a little leverage to try to pry the pan off and suddenly it just popped. From there it was easy. Of course at that point the pan bolts were loosened, not removed, or I would have had a large clean up job ahead of me and some explaining to do to my wife.

Rated 4 out of 5 by Radarman Good filter...bad gasket.
The filter is of the usual Purolator quality but don't use the gasket that comes with it. Get yourself a good Fel-Pro or equivalent rubber/neoprene type gasket.
The slightest amount of over-torquing the pan bolts caused the gasket to actually dissintegrate in places and leaked like crazy. I found out the hard way and had a nice puddle of trans fluid on my new driveway the next morning. I had to drop the pan and install a new gasket. I should have known better.
